ZenPass Terms & Conditions

1. Introduction

These Terms of Use (“Terms”) constitute a contract between you and ZenPass LTD (“ZenPass” or “we”) and govern your access to and use of:

  • Any ZenPass website, application, or content (collectively, the “Site”);
  • Any functionality allowing you to book, reschedule, cancel, or otherwise manage sessions offered by third-party providers on the Site;
  • Any content, classes, experiences, activities, events, services, recordings, or other products made available through ZenPass (collectively, “Experiences”).

ZenPass is a practice management & monetization platform that enables you to engage with wellness, fitness, and other types of practitioners (“Providers”) by scheduling, paying for, and managing your sessions, as well as accessing or consuming related content.

Please read these Terms carefully before using the Site or participating in any Experiences.

Changes to These Terms
We may update or modify these Terms at any time by posting a revised version on the Site (or otherwise giving you notice). Your continued use of the Site or Experiences after any such update constitutes your acceptance of the modified Terms.


2. Acceptance of Terms

  1. Binding Agreement: By accessing or using the Site and/or any Experiences, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Site or any Experiences.
  2. Amendments: Amendments to these Terms become effective upon posting unless stated otherwise. Your continued use of the Site or Experiences after posting constitutes acceptance of the revised Terms.
  3. Additional Terms: Certain plans, offers, products, or features may be subject to additional terms or guidelines. In the event of a conflict between these Terms and any additional terms, these Terms will govern.

3. Nature of the ZenPass Platform

  1. Practice Management & Monetization: ZenPass provides digital tools allowing Providers (e.g., studios, individual practitioners) to manage their practice, monetize their services, and interact with users.
  2. User Experience: As an End User (“you”), ZenPass enables you to search, book, pay for, reschedule, cancel, and consume content for various sessions, events, or classes offered by Providers.
  3. Starter Plan vs. GROW & PRO Plans:
    • Starter Plan: Sessions offered by Providers on the Starter Plan fall under ZenPass’s default terms regarding refunds, cancellations, and data protection as described below.
    • GROW & PRO Plans: If you book an Experience with a GROW or PRO Plan Provider, that Provider is considered the primary service provider. You become their client for that transaction, and you are subject to their refund/cancellation policies and data protection practices.

4. Your ZenPass Account

  1. Personal Use: You may create one account for personal, non-commercial use. You agree not to share your login credentials with any third party.
  2. Account Security: You are responsible for maintaining the confidentiality of your username and password and for all activities that occur under your account.
  3. Eligibility: You must be at least 18 years old and reside in a country where ZenPass operates. Access from jurisdictions where ZenPass does not operate is not permitted.

5. Fees, Billing, Cancellations, and Refunds

5.1 Purchases & Payment Processing

  • Payment Methods: When you book or subscribe via ZenPass, fees are charged promptly using secure third-party payment processors (e.g., Stripe).
  • Upfront Payment: ZenPass may require payment in advance to secure your session with a Provider.

5.2 Cancellations & Refunds (Starter Plan Providers)

  • Private Sessions:
    • 24+ Hours Before Service: You are entitled to a full refund (minus any applicable payment processing fees).
    • Within 24 Hours: No refund is due, as the cancellation is considered short-notice.
  • Classes & Events:
    • Generally non-refundable.
  • Provider Cancellations: If a Starter Plan Provider cancels your booked session, you receive a full refund of fees paid.

5.3 Cancellations & Refunds (GROW & PRO Providers)

  • Provider-Managed Policies: If you book with a Provider on the GROW or PRO Plan, refunds and cancellations are solely subject to that Provider’s policy. Consult their terms for any disputes or questions.

5.4 Price Changes

  • Modifications: ZenPass or Providers reserve the right to adjust pricing at any time. Any changes typically apply to future bookings or billing cycles.
  • Notice: If you hold a subscription, ZenPass will notify you of a price change through a posting on the Site, an email, or other communication method. If you do not cancel before the new fees take effect, you are deemed to have accepted them.

6. Termination or Modification by ZenPass

  • Termination Rights: ZenPass may suspend or terminate your account, subscription, or access to the Site at any time, for any reason or no reason.
  • Changes to Services: ZenPass may discontinue or modify any aspect of its platform without notice.
  • Refunds on Termination: If ZenPass terminates your subscription without cause, you may be entitled to a pro-rata refund of unused prepaid amounts. If termination is due to your breach of these Terms, ZenPass may refuse to issue any refund.

7. Privacy

Please review our Privacy Policy for information on how ZenPass collects, uses, and discloses personal information. That policy is incorporated herein by reference.

Important: If you purchase Experiences from GROW or PRO Providers, you may be subject to their data protection policies, which could differ from ZenPass’s practices. ZenPass is not responsible for data handling by these independent Providers.


8. Prohibited Conduct

You agree not to:

  • Harass, threaten, or defraud other users or Providers.
  • Access another user’s account without permission.
  • Circumvent ZenPass’s booking platform by scheduling or cancelling directly with a Provider outside the Site.
  • Upload viruses or malicious code.
  • Post content that infringes the rights of others or is unlawful, defamatory, obscene, or otherwise objectionable.
  • Reverse engineer, scrape, or data mine the Site.
  • Use the Site for any illegal or unauthorized purpose.

ZenPass reserves the right to remove content, refuse service, or suspend accounts at its discretion for any prohibited conduct.


9. User Submissions

  1. Reviews & Feedback: You may submit reviews, ratings, and other content (“User Submissions”). By doing so, you grant ZenPass a non-exclusive, royalty-free license to use and display such content in connection with the Site.
  2. No Obligation to Publish: ZenPass may remove or refuse to publish User Submissions at its discretion.
  3. Ownership: You represent that you own or have rights to any content you submit, and that it does not infringe on any third-party rights or violate any laws.

10. Ownership; Proprietary Rights

All content on the Site, except for User Submissions, is owned by ZenPass or its licensors. You may not copy, distribute, modify, or create derivative works from any such content without express permission.


11. Linked Sites and Third-Party Services

ZenPass may link to third-party websites or services (“Linked Sites”) for your convenience. ZenPass does not endorse or control these Linked Sites and is not responsible for their content or services. Your dealings with any third party found through the Site are solely between you and that third party.


12. Disclaimers

  • Independent Providers: Providers offering services through ZenPass operate independently. ZenPass does not guarantee any specific outcome or quality.
  • “As Is”: The Site and all features are provided “as is,” without warranties of any kind.
  • Health & Fitness: Consult a professional before participating in any wellness or fitness activity. You assume all risk of injury or harm.

13. Waiver & Release

By using ZenPass and booking or attending any Experience, you recognize inherent risks associated with fitness or wellness activities. To the fullest extent permitted by law, you waive and release ZenPass and its employees, agents, and officers from any claims relating to injury, harm, or property damage.


14. Limitation of Liability

Nothing in these Terms excludes liability that cannot be excluded under applicable law. Subject to the foregoing, ZenPass is not liable for indirect, incidental, or consequential damages arising from your use of the Site or Experiences.


15. Dispute Resolution

We encourage you to contact us at contact@zen-pass.com to resolve any dispute. Any claim arising under these Terms will be governed by the laws of England and Wales, and subject to the exclusive jurisdiction of its courts unless otherwise agreed.


16. Miscellaneous

  1. Choice of Law: These Terms are governed by the laws of England and Wales.
  2. Assignment: ZenPass may assign its rights and obligations without restriction.
  3. Severability: If any provision is deemed invalid or unenforceable, the remainder remains in force.
  4. Entire Agreement: These Terms (and any incorporated policies) constitute the entire agreement between you and ZenPass.
  5. Waiver: A waiver of any term of these Terms is not a further or continuing waiver of that term.
  6. Notices: We may notify you via email or postings on the Site; you may notify us at contact@zen-pass.com.
